Terms of Service

The rules for using indie.ugc as a brand or a creator. By applying to or using the platform, you agree to these terms.

1. Who we are

indie.ugc ("indie.ugc", "we", "us") is a curated marketplace operated by Indie UGC Technologies Pvt. Ltd., a company incorporated in India, connecting brands with user-generated-content ("UGC") creators. These Terms of Service ("Terms") govern your access to and use of the platform.

2. Eligibility

The platform is invite-only and currently available to users in India who are at least 18 years old. Brands must represent a genuine business; creators must be the real person behind their account. We may accept, decline, or revoke access at our discretion.

3. Accounts

You are responsible for the accuracy of the information you provide and for keeping your login credentials secure. You must not share your account or impersonate anyone. Notify us promptly of any unauthorised use.

4. How the marketplace works

Brands publish briefs describing a product, audience, and deliverables. Creators apply, and brands shortlist and accept the creators they want. indie.ugc facilitates the connection, the brief workflow, escrowed payment, and payout — but the content agreement is between the brand and the creator.

5. Payments and escrow

When a brand accepts creators on a brief, the total amount (creator rates plus a flat platform fee) is charged and held in escrow by our payments partner, Razorpay. Funds are released to creators on the brand's approval of delivery, subject to our Refunds & Cancellations policy. All amounts are in INR and, where applicable, inclusive of or subject to GST. Platform fees are non-refundable except where required by law.

6. Shipping of product

Where a brief requires physical product, the brand ships it directly to the creator. indie.ugc does not handle logistics; brands mark shipments and creators confirm receipt within the platform.

7. Deliverables, revisions, and content licence

Creators must deliver original content that matches the accepted brief. One free revision is included per brief; additional revisions may be configured per brief. Unless the brief states otherwise, on full payment the creator grants the brand a licence to use the delivered content for the brand's advertising and marketing. Creators confirm they have the rights to everything they submit, including any music, people, or third-party material.

8. Acceptable use

You agree not to:

  • circumvent the platform to transact off it in order to avoid fees;
  • submit content that is unlawful, infringing, deceptive, or unsafe;
  • misrepresent yourself, your brand, or your work;
  • abuse, harass, or discriminate against other users; or
  • interfere with the platform's security or normal operation.

9. Trust & safety

We operate a strikes-based enforcement system described in our Trust & Safety Policy. Violations may lead to strikes, withheld payouts pending review, or removal from the platform.

10. Disputes

Genuine quality or delivery disputes are escalated to our human review queue. Our decision on the release or refund of escrowed funds is final for the purposes of the platform, without limiting either party's rights under applicable law.

11. Termination

You may stop using the platform at any time. We may suspend or terminate access for breach of these Terms or where required to protect users or the platform. Obligations relating to completed transactions, payment, and content licences survive termination.

12. Disclaimers and liability

The platform is provided "as is". To the extent permitted by law, indie.ugc is not liable for indirect or consequential losses, and our aggregate liability arising from a brief is limited to the platform fees we received for that brief.

13. Changes

We may update these Terms from time to time. Material changes will be notified in-app or by email, and continued use after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of India, and the courts at Mumbai, Maharashtra shall have jurisdiction, subject to any applicable arbitration agreement.
